Terms of Service

These terms govern your use of Suede AI's website, application, generation services, ownership records, royalty rails, and agent commerce APIs.

1. Who we are

"Suede AI", "Suede", "we", "us", and "our" refer to JC Investment Group LLC, a Florida limited liability company, doing business as Suede AI, and the operator of suedeai.org, suedeai.ai, and the Suede application at app.suedeai.xyz (collectively, the "Services"). "You" means the person or entity using the Services.

By creating an account, connecting a wallet, purchasing credits, calling our agent commerce APIs, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.

2. What Suede provides

Suede provides infrastructure for creator ownership in AI media, including:

  • AI music and video generation through the Suede application and APIs
  • Proof-of-creation records that capture origin, author, and time of creation
  • Programmable IP and license metadata attached to creative assets
  • Royalty tracking and payout rails
  • Agent commerce endpoints that accept payment via Stripe, USDC on Base, Solana, and the x402 protocol
  • Credit purchases used to access generation and registry features

Specific features, pricing, and availability may change. We may add, remove, or modify features at any time.

3. Eligibility and accounts

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services. You are responsible for keeping your account credentials, wallet keys, API keys, and session tokens secure. You are responsible for all activity under your account, wallet, or API key.

You agree to provide accurate information and to keep it current. We may suspend or terminate accounts that violate these Terms, applicable law, or our acceptable use rules.

4. Acceptable use

You agree not to use the Services to:

  • Generate content that infringes intellectual property, publicity, privacy, or other rights of any third party
  • Generate non-consensual intimate imagery, sexualized content involving minors, or content depicting real people in defamatory, harassing, or fraudulent contexts
  • Impersonate a real person's voice, likeness, or identity without authorization
  • Create content that is unlawful, fraudulent, deceptive, or designed to deceive end users about its origin
  • Distribute malware, attempt to compromise the Services, or circumvent rate limits, payment systems, or access controls
  • Violate sanctions, export controls, or other applicable laws
  • Resell, sublicense, or repackage the Services without our written consent

We may remove content, suspend access, and cooperate with law enforcement as appropriate.

5. Ownership of generated content

Subject to your compliance with these Terms and applicable law, you own the rights you contribute as inputs (prompts, references, vocals, samples) and you receive the rights in the generated outputs that we are able to grant. Suede retains ownership of the Services, models, software, and infrastructure.

Generated outputs may be similar or identical to outputs produced for other users from similar inputs. We do not guarantee the uniqueness of any output. You are responsible for ensuring your use of any input or output complies with the rights of any third party referenced or sampled.

Suede may store hashes, metadata, and provenance records of your work to operate proof-of-creation, programmable IP, and royalty features. Where you mint, register, or publish a work through Suede, the corresponding ownership record may be public.

6. Payments, credits, and agent commerce

Some features require payment. We accept payment through Stripe, USDC on Base and Solana, and the x402 protocol via supported facilitators. Prices, credit values, and supported networks may change.

  • Credit purchases are denominated in the currency shown at checkout. Credits are non-transferable and have no cash value outside the Services.
  • x402 and on-chain payments are settled by external networks. Network fees, gas costs, and confirmation delays are outside our control.
  • Subscription terms, if any, will be described at the point of sale and renew automatically until cancelled.
  • Agent commerce calls are billed per call at the price disclosed in the response or schema.

You authorize us, our payment processors, and applicable on-chain facilitators to charge or settle the amounts you approve at checkout or via your agent.

7. Refunds

Refund eligibility for credits, subscriptions, on-chain payments, and agent commerce calls is described in our Refund and Return Policy, which is incorporated into these Terms.

8. Third-party services

The Services rely on third parties including Stripe, Supabase, IPFS storage providers, RPC providers, x402 facilitators, and wallet providers. Use of those services is subject to their own terms. We are not responsible for outages, errors, or losses caused by third-party providers, blockchain networks, or wallet software.

9. Disclaimers

The Services are provided "as is" and "as available". We do not warrant that the Services will be uninterrupted, error-free, secure, or that generated outputs will be accurate, lawful, or fit for a particular purpose. To the fullest extent permitted by law, we disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement.

Nothing in Suede is investment advice. Tokens, on-chain transactions, and digital asset values may fluctuate or be lost, and you are responsible for your wallet and keys.

10. Limitation of liability

To the fullest extent permitted by law, JC Investment Group LLC and its members, managers, officers, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or lost goodwill arising out of or related to the Services. Our aggregate liability for any claim related to the Services will not exceed the greater of (a) the amounts you paid to Suede in the twelve months before the event giving rise to the claim, or (b) one hundred U.S. dollars.

11. Indemnity

You will defend, indemnify, and hold harmless JC Investment Group LLC and its affiliates, members, managers, officers, employees, and contractors from claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your inputs, your outputs, your distribution or use of generated content, your violation of these Terms, or your violation of any law or third-party right.

12. Changes to the Services and Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date above and, where appropriate, give additional notice. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

13. Termination

You may stop using the Services at any time. We may suspend or terminate your access at any time for any reason, including violation of these Terms. Sections that by their nature should survive termination will survive, including ownership, disclaimers, limitation of liability, indemnity, and governing law.

14. Governing law and disputes

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Florida for any dispute that is not subject to arbitration where required by applicable law.
